1) About these Terms
These Terms & Conditions (“Terms”) govern your access to and use of BaiTech’s website, applications, WhatsApp integrations, and related services (the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
2) Who we are
“BaiTech’s”, “we”, “us”, or “our” refers to Ignite Ventures, Operated in Bahrain. Contact: info@baitech.app. Our Privacy Policy forms part of these Terms and is available at https://baitech.app/privacy-policy.
3) Definitions
“Account” means your BaiTech’s account. “Landlord” means an organization that manages properties through the Services. “Tenant” means an individual invited by a Landlord to use the Services. “WhatsApp App” means our Meta-approved WhatsApp Business integration and bot. “Content” means data, text, images, videos, documents, and other material submitted, uploaded, or displayed through the Services.
4) Eligibility
You must be at least the age of majority in your jurisdiction (typically 18+) and capable of forming a binding contract. You may use the Services on behalf of an organization only with proper authorization.
5) Account registration & security
You must provide accurate information and keep it updated. You are responsible for safeguarding your credentials and any OTPs, and for all activities under your Account. Notify us immediately of any unauthorized use. We may reject or reclaim usernames that violate policy or rights.
6) Subscriptions, plans & trials
Some Services may require a paid subscription. Plan details, features, limits, and pricing are described at purchase time or in an order form. Trials and promotional offers are subject to the stated terms and may be modified or terminated at any time.
7) Fees, billing & refunds
Fees are due in the currency specified (e.g., BHD, SAR, AED) and are exclusive of taxes unless stated. Payments may be processed by third-party providers including BenefitPay (Bahrain) and Tap Payments (GCC). By submitting a payment, you authorize us and our providers to charge the payment method for applicable fees. Except where required by law or expressly stated, fees are non-refundable. Late payments may incur suspension. You remain responsible for any carrier or bank fees.
8) Communications, OTP, and WhatsApp
We may send notifications, OTP codes, and service messages by email, SMS, or WhatsApp. Delivery depends on third‑party networks and cannot be guaranteed. You consent to receiving such messages to operate your account. For WhatsApp, you may opt out at any time by sending “STOP”; alternate channels (SMS/email) are available. Carrier charges may apply.
9) Roles and responsibilities
(a) Landlords are responsible for all Content they import or manage, including tenant data, lease terms, payment amounts, EWA caps, and communications. They determine lawful bases and consents where required. (b) Tenants provide accurate information and use the Services only for lawful purposes related to their tenancy. (c) BaiTech provides the platform, automations, and integrations, and processes certain data as a processor on behalf of Landlords as described in the Privacy Policy and (where applicable) a Data Processing Addendum (DPA).
10) Content ownership & license
You retain ownership of your Content. You grant BaiTech and our subprocessors a worldwide, non‑exclusive, limited license to host, process, transmit, display, and create derivative works of the Content solely as necessary to provide and improve the Services (including backups, anti‑abuse, analytics, and formatting). You represent that you have all rights necessary to grant this license.
11) Acceptable use
You will not: (i) violate any law or third‑party rights; (ii) upload malicious code or attempt to gain unauthorized access; (iii) send spam, unlawful, defamatory, or infringing content; (iv) circumvent usage limits, rate limits, or security; (v) resell or white‑label the Services without written consent; (vi) use the Services to make decisions with legal or similarly significant effects without appropriate human review.
12) Service changes; maintenance; beta features
We may update or modify the Services at any time. We may perform scheduled or emergency maintenance that may affect availability. Certain features may be offered as “Beta”; Beta is provided “AS IS” and may be modified or discontinued without notice. You acknowledge Beta may be less stable and is excluded from any service level commitments.
13) Third‑party services & integrations
The Services may interoperate with third‑party services (e.g., WhatsApp Business Platform, SMS providers, payments, email). Use of such services is subject to their terms and policies. We are not responsible for third‑party services and do not control their availability, security, or performance.
14) AI features & automation
AI features (e.g., assistants, triage, suggestions) may generate outputs that are probabilistic and could be inaccurate or incomplete. You are responsible for human review where appropriate, especially for communications with legal or financial impact. You will not rely on AI outputs as the sole source of truth for decisions that produce legal or similarly significant effects. You will not submit sensitive personal data unless necessary and permitted by law.
15) Data protection & privacy
Our processing of personal data is described in our Privacy Policy at https://baitech.app/privacy. Where required, BaiTech will enter into a DPA with Landlords for processor activities. You must comply with applicable data protection laws (e.g., Bahrain PDPL, GDPR/UK GDPR) and ensure that any required notices/consents are obtained from end users.
16) Security
We implement administrative, technical, and physical safeguards appropriate to the risk, including encryption in transit, access controls, audit logs, and backups. No system is 100% secure; you are responsible for the appropriate configuration of your accounts and access controls (e.g., roles, least privilege).
17) Intellectual property
The Services, including software, designs, trademarks, and content (excluding your Content) are owned by BaiTech or its licensors and are protected by law. Except for the limited rights expressly granted, no license is granted by implication or otherwise. You may not reverse engineer, decompile, or derive source code except to the extent permitted by law.
18) Feedback
If you provide ideas, suggestions, or feedback, you grant BaiTech a perpetual, worldwide, royalty‑free license to use and incorporate them without restriction or compensation.
19) Suspension & termination
We may suspend or terminate access if you materially breach these Terms, fail to pay fees, pose a security risk, or if required by law. You may terminate by closing your Account and paying any outstanding fees. Upon termination, your right to access the Services ceases, but certain sections (e.g., IP, disclaimers, liability, indemnity) survive.
20) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE SECURE OR NOT LOST.
21) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES; AND (B) EACH PARTY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY 12‑MONTH PERIOD IS LIMITED TO THE AMOUNTS PAID OR PAYABLE BY YOU FOR THE SERVICES DURING THAT PERIOD. NOTHING EXCLUDES LIABILITY THAT CANNOT BE LIMITED BY LAW (E.g., WILLFUL MISCONDUCT).
22) Indemnity
You will defend, indemnify, and hold harmless BaiTech and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your Content; (b) your breach of these Terms or applicable law; or (c) your use of the Services in violation of third‑party rights.
23) Governing law & disputes
These Terms are governed by the laws of the Kingdom of Bahrain, without regard to conflicts of law principles. Courts located in Manama, Bahrain shall have exclusive jurisdiction, unless otherwise agreed in a written order form. If you are domiciled in another GCC country and local law requires local jurisdiction, the parties may mutually agree to an alternative forum. Nothing prevents a party from seeking injunctive relief in any competent court.
24) Changes to these Terms
We may update these Terms from time to time. Material changes will be notified (e.g., email, in‑app, or Website notice). Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

Annex A — Service levels & support (non‑binding baseline)
- Availability target (non‑binding): 99.5% monthly for production API (excluding scheduled maintenance and third‑party outages).
- Support hours: Sun–Thu, 9:00–18:00 (Asia/Bahrain), with reasonable efforts outside hours for critical incidents.
- Incident response targets (non‑binding): P1 within 2 business hours; P2 within 8 business hours; P3 within 2 business days.
- Exclusions: Third‑party providers (e.g., WhatsApp, carriers, payments), user networks/devices, Beta features, force majeure.
Annex B — Data Processing Addendum (summary; full DPA available on request)
- Roles: Landlord as controller; BaiTech as processor.
- Subject matter: hosting, messaging, payments reconciliation, automation workflows.
- Duration: term of Services.
- Nature & purpose: provision of the Services and related support.
- Data subjects: landlord staff, tenants, vendors.
- Data categories: contact data, tenancy/lease data, communications metadata, payment references.
- Security measures: encryption in transit, access controls, audit logs, backups, least privilege.
- International transfers: safeguards as required (e.g., SCCs).
- Subprocessors: listed in Privacy Policy Annex; updates with notice.
- Assistance: reasonable assistance with data subject requests and security incidents.
- Deletion/return: upon termination, per policy and applicable law.
